Terms of Service.
These terms set out the agreement between you and Soluteck when you use our websites and products. We've written them in plain language so they're easy to read and honest about what to expect.

1. Agreement to these terms
By accessing or using our websites, applications, APIs and other products (together, the "Services"), you agree to these Terms of Service. If you are using the Services on behalf of an organisation, you confirm that you have the authority to bind that organisation, and "you" refers to that organisation. If you do not agree to these terms, please do not use the Services.
2. Who can use the Services
To use the Services you must be able to form a legally binding contract and meet any minimum age required in your location. Some Services are intended only for use by businesses, institutions or their authorised users. Where a particular product sets additional eligibility or onboarding requirements, those apply in addition to these terms.
3. Your account and security
If you create an account, you are responsible for the information you provide and for activity that happens under your account. You agree to:
- keep your login credentials confidential and not share them;
- use reasonable safeguards to protect access to your account and devices;
- notify us promptly if you believe your account has been compromised.
We are not responsible for losses caused by someone using your account because you failed to keep your credentials secure.
4. Acceptable use
We want the Services to be safe and useful for everyone. You agree not to:
- use the Services for anything illegal, fraudulent, harmful, abusive or infringing;
- upload or share content that violates someone else's rights, including intellectual property and privacy rights;
- attempt to disrupt, overload, gain unauthorised access to, or interfere with the Services or related systems;
- reverse-engineer, decompile, scrape or copy the Services except where the law expressly permits it;
- misuse any AI features — for example to generate unlawful, deceptive or harmful content, or to evade safety measures.
We may investigate and take appropriate action, including removing content or suspending access, where we reasonably believe these rules have been broken.
5. Our intellectual property
The Services — including our brand, names, logos, software, designs, text and other materials we provide — are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services as permitted by these terms and any applicable plan. These terms do not transfer any ownership of our intellectual property to you.
6. Your content and data
You keep the rights you already have in the content and data you submit to the Services ("Your Content"). To operate the Services for you, you grant us a limited, worldwide licence to host, store, process and transmit Your Content — only as needed to provide, maintain, secure and improve the Services, and as described in our privacy practices.
You are responsible for Your Content and for making sure you have the rights needed to submit it. For custom-build engagements, ownership of deliverables and any related licensing are governed by the separate engagement contract you sign with us; where that contract conflicts with this section, the engagement contract controls for that work.
7. Third-party services and links
The Services may interoperate with, or link to, products and services provided by third parties. We don't control those third parties and aren't responsible for their content, practices or availability. Your use of a third-party service is governed by that provider's own terms, and you should review them.
8. Service availability
We work hard to keep the Services reliable and secure, but the Services are provided on an "as is" and "as available" basis. We do not guarantee that the Services will be uninterrupted, error-free, or available at all times. We may modify, suspend or discontinue parts of the Services, and we may carry out maintenance that affects availability.
9. AI features
Some Services include AI-assisted features. AI can be helpful, but it can also be wrong, incomplete or out of date. You should treat AI outputs as assistance, not as a final answer.
- A qualified human should review any consequential output before acting on it.
- AI outputs are not professional, legal, medical, financial or other expert advice.
- You remain responsible for decisions you make based on AI outputs.
Where a product places additional safeguards around AI — such as requiring human review before an output reaches an end user — those product-specific rules also apply.
10. Fees and payment
Some Services are free and some are paid. Where fees apply, they are set out in the plan, order or quote you select, and you agree to pay them along with any applicable taxes. Unless stated otherwise, fees are non-refundable except where required by law. We may change pricing for future billing periods, and we'll give reasonable notice of material changes that affect you.
11. Disclaimers and limitation of liability
To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of the Services. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.
12. Indemnity
To the extent permitted by law, you agree to defend, indemnify and hold us harmless from claims, damages and reasonable costs arising out of your misuse of the Services, your breach of these terms, or your violation of the law or the rights of a third party.
13. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these terms, if required for security or legal reasons, or if necessary to protect the Services or other users. Where reasonable and lawful, we'll aim to give you notice. Sections that by their nature should survive termination — such as intellectual property, disclaimers, limitation of liability and indemnity — will continue to apply.
14. Changes to the Services and these terms
We may update the Services and these terms from time to time. When we make material changes to these terms, we'll update the "Last updated" date above and, where appropriate, provide additional notice. If you continue to use the Services after changes take effect, you accept the updated terms.
15. Governing law and disputes
These terms, and any dispute arising from them or the Services, are governed by the laws of the Republic of Ghana, and the courts or dispute-resolution process for that jurisdiction will apply.
